By clicking "Accept", installing, or using PathProof (the "Software"), you ("User" or "Licensee") agree to be bound by the terms of this End User License Agreement ("EULA") with Zenith App Foundry, a registered business name of Zenith Consulting Services Pty Ltd (ABN 29 918 988 901) ("Licensor", "ZAF", "we", "our", or "us").

If you do not agree to these terms, click "Reject" and do not use the Software.

PLEASE READ THIS SECTION CAREFULLY. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS.

1. AI HALLUCINATIONS AND ERRORS
   The AI assistant feature uses large language models (LLMs) that may generate:
   • Factually incorrect or misleading responses
   • Plausible-sounding but fabricated information
   • Inconsistent outputs not aligned with your project data
   • Responses based on probabilistic patterns, not deterministic logic

   AI OUTPUTS MAY APPEAR CONFIDENT AND ACCURATE EVEN WHEN COMPLETELY WRONG.

2. NO PROFESSIONAL ADVICE
   AI-generated content is NOT:
   • Professional scheduling advice or recommendations
   • A substitute for expert judgment or domain expertise
   • Verified, validated, or reviewed analysis
   • Suitable for critical decisions without independent verification
   • A guarantee of accuracy or reliability

   THE AI DOES NOT POSSESS PROFESSIONAL CREDENTIALS OR EXPERTISE.

3. USER RESPONSIBILITY FOR VERIFICATION
   YOU, the user, are SOLELY AND EXCLUSIVELY responsible for:
   • Verifying all AI-generated analysis before use
   • Exercising independent professional judgment
   • Reviewing AI outputs with appropriate expertise
   • Understanding the limitations of AI systems
   • Ensuring accuracy before including in reports or decisions

   YOU MUST TREAT ALL AI OUTPUTS AS UNVERIFIED SUGGESTIONS REQUIRING VALIDATION.

4. NO LIABILITY FOR AI OUTPUTS OR CONSEQUENCES
   Licensor SHALL NOT BE LIABLE for any damages, losses, or consequences
   whatsoever arising from or related to:
   • Use of or reliance on AI-generated recommendations
   • Decisions made based on AI outputs
   • Errors, omissions, or hallucinations in AI responses
   • Consequences of AI-suggested actions or analysis
   • Financial, reputational, or operational damages from AI use

   THIS DISCLAIMER APPLIES REGARDLESS OF LEGAL THEORY AND EVEN IF THE
   LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. PROFESSIONAL STANDARDS REMAIN YOUR RESPONSIBILITY
   This Software assists with schedule analysis but does NOT replace:
   • Professional expertise and experience
   • Industry standards and best practices (PMI, DCMA, etc.)
   • Regulatory or contractual requirements
   • Human oversight and critical thinking

   AI is a tool, not a substitute for professional competence.

6. ACKNOWLEDGMENT REQUIRED
   By using the AI features, you explicitly acknowledge and agree that:
   • You understand AI systems can and will make mistakes
   • You will not rely on AI outputs without verification
   • You accept full responsibility for decisions based on AI suggestions
   • You waive any claims against Licensor arising from AI use

IMPORTANT: If you cannot accept these terms, DO NOT use the AI features.
All other Software features remain available without AI capabilities.




1. LICENSE GRANT

Subject to the terms of this EULA, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Software for its intended purpose of analyzing and reporting on project schedule files (including Microsoft Project and Primavera P6 formats).

This license may be provided as:
  • A perpetual license (one-time purchase)
  • A subscription license (monthly, annual, or other recurring term)
  • An enterprise license (organization-wide agreement)
  • An evaluation license (time-limited trial), including the 7-day trial available on first install without registration or a licence key
  • A beta license (free while PathProof is in beta; the beta program, or any individual beta license, may be ended by Licensor at any time)

The specific license type and permitted use are determined by your purchase or agreement with Licensor. If you have not purchased a license, you are using an evaluation version.


2. LICENSE RESTRICTIONS

You may NOT:
  • Modify, reverse engineer, decompile, or disassemble the Software, except as expressly permitted in Section 2A for open source components or to the extent this restriction is prohibited by applicable law
  • Distribute, sublicense, rent, lease, or lend the Software to third parties
  • Remove or alter any proprietary notices or labels on the Software
  • Use the Software for any unlawful purpose or in violation of regulations
  • Bypass or defeat any license validation or security mechanisms
  • Use the Software to provide services to third parties without authorization


2A. OPEN SOURCE COMPONENTS

The Software includes the zaf_mpp library, a Rust port of the MPXJ project (copyright Jon Iles and the MPXJ contributors), licensed under the GNU Lesser General Public License version 2.1 or later (LGPL-2.1-or-later). The LGPL governs that library and, for it, prevails over any conflicting term of this EULA. In particular, you may obtain the library's complete source code at https://github.com/zenith-consulting-services/zaf-mpp, modify the library for your own use, replace the dynamically linked library with a modified interface-compatible version, and reverse engineer the Software to the extent necessary to debug such modifications. 3. INTELLECTUAL PROPERTY RIGHTS

The Software is licensed, not sold. Licensor retains all right, title, and interest in the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks, service marks, or trade names of Licensor.


4. AI FEATURES - DETAILED TERMS

4.1 AI ASSISTANT FUNCTIONALITY
The Software includes an AI-powered assistant feature that uses large language models (LLMs) to assist with schedule analysis. This feature:
  • Generates probabilistic outputs, not deterministic calculations
  • May produce factually incorrect or misleading information ("hallucinations")
  • Requires verification by qualified professionals before reliance
  • Should not replace human expertise or professional judgment

4.2 USER RESPONSIBILITY FOR AI OUTPUTS
Licensee acknowledges and agrees that:
  • All AI-generated analysis must be independently verified
  • AI outputs are suggestions, not professional recommendations
  • Licensee bears sole responsibility for decisions based on AI outputs
  • AI features are experimental and may change or be removed

4.3 THIRD-PARTY AI SERVICES
The AI features may utilize third-party AI services (OpenAI, Anthropic, or others). When using AI features:
  • Your project data may be transmitted to third-party AI providers
  • Third-party privacy policies and terms of service apply
  • You must provide your own API keys for third-party services
  • Licensor is not responsible for third-party service availability

4.4 NO AI LIABILITY
To the maximum extent permitted by law, Licensor SHALL NOT BE LIABLE for any damages, losses, or consequences arising from:
  • Reliance on AI-generated outputs or recommendations
  • Errors, omissions, or inaccuracies in AI responses
  • Decisions made based on AI suggestions
  • Third-party AI service failures or data handling


5. DATA PRIVACY AND STORAGE

5.1 LOCAL DATA PROCESSING
The Software processes project schedule files (Microsoft Project and Primavera P6) locally on your device. Schedule data remains on your device and is not transmitted to Licensor's servers.

5.2 API KEY STORAGE
If you configure AI features, your API keys are stored:
  • In your system's keychain/credential manager (when available)
  • In encrypted local files as fallback
  • Never transmitted to Licensor

5.3 NO SCHEDULE DATA OR TELEMETRY COLLECTION
Licensor does not collect, store, or transmit:
  • Your project schedule data
  • Analysis results or reports
  • Usage telemetry or analytics from the Software

5.4 THIRD-PARTY DATA TRANSMISSION
If you use AI features, be aware that:
  • Project data may be sent to third-party AI providers
  • You are responsible for compliance with your organization's data policies
  • You must obtain necessary permissions before using AI features

5.5 LICENCE VALIDATION AND UPDATE DATA
The Software contacts Licensor's servers to validate your licence, confirm subscription or beta status, and check for updates. These requests transmit:
  • During the 7-day trial, before any registration: a one-way salted hash of the operating system machine identifier and the Software version, and nothing else. No email address, hostname, network address of the machine, user name, or schedule data is sent.
  • After registration: your email address, and the first name, last name, and company you enter on the licence screen
  • After registration: your licence key, the Software version, and a device identifier
Licensor may end an individual trial by reference to that machine identifier hash where the Software is being abused. If the Software cannot reach Licensor's servers, the trial continues to run on the local trial period; validation failure due to unavailability does not itself disable the Software. This information is stored with your licence record and used only to operate licensing, downloads, updates, and support. It is handled in accordance with the PathProof Privacy Policy at https://pathproof.app/privacy.html. If your licence or the beta program is deactivated, the Software will stop functioning after any applicable offline grace period.



6. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Licensor does not warrant that:
  • The Software will meet your requirements
  • The Software will be error-free or uninterrupted
  • Defects will be corrected
  • The Software is free from viruses or harmful components

YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SOFTWARE.



7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR:
  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from use or inability to use the Software
  • Damages arising from AI-generated outputs or recommendations
  • Damages arising from third-party services or integrations

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Licensor has been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Licensor's liability shall be limited to the maximum extent permitted by law.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

7A. AUSTRALIAN CONSUMER LAW

Nothing in this EULA excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted, or modified. Where Licensor is permitted to limit its liability for a failure to comply with a consumer guarantee, Licensor's liability is limited, at Licensor's option, to: (a) re-supplying the Software or the relevant services, or paying the cost of having them re-supplied; or (b) for goods, repairing or replacing the goods, supplying equivalent goods, or paying the cost of repair or replacement. Statutory consumer protections in other jurisdictions that cannot lawfully be excluded are similarly unaffected by this EULA.



8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
  • Your use or misuse of the Software
  • Your violation of this EULA
  • Your violation of any applicable laws or regulations
  • Your reliance on AI-generated outputs without proper verification



9. UPDATES AND MODIFICATIONS

Licensor may provide updates, patches, or new versions of the Software at its discretion. Such updates may:
  • Add, modify, or remove features
  • Require acceptance of revised terms
  • Change system requirements

Licensor reserves the right to modify this EULA at any time. Continued use of the Software after modifications constitutes acceptance of the revised terms. You will be notified of material changes to this EULA.



10. TERMINATION

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this EULA.

Upon termination:
  • You must cease all use of the Software
  • You must delete all copies of the Software in your possession
  • Sections 3, 4, 6, 7, 8, 11, and 12 survive termination



11. GOVERNING LAW AND JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law provisions.

Any disputes arising from this EULA or use of the Software shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia, except where applicable law gives you a non-waivable right to bring proceedings in your local courts.



12. GENERAL PROVISIONS

12.1 ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.

12.2 SEVERABILITY
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 WAIVER
No waiver of any term of this EULA shall be deemed a further or continuing waiver of such term or any other term.

12.4 ASSIGNMENT
You may not assign or transfer this EULA or any rights under it without Licensor's prior written consent. Licensor may assign this EULA at any time without notice.

12.5 NO THIRD-PARTY BENEFICIARIES
This EULA does not create any third-party beneficiary rights.
